Please review these Terms and Conditions governing your access to and use of DoctorsDirect services and workflows.

IMPORTANT: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER. PLEASE READ SECTION 18 CAREFULLY.

EMERGENCY SERVICES ARE NOT AVAILABLE THROUGH THE PLATFORM. CALL 911 OR GO TO THE NEAREST EMERGENCY DEPARTMENT FOR A MEDICAL EMERGENCY.

1. Agreement and Scope

These Terms of Use and Self-Pay Agreement (the "Terms") are a legally binding agreement between you and Roczar Health of America Inc., doing business as DoctorsDirect ("DoctorsDirect," "Company," "we," "us," or "our"). They govern access to and use of our websites, mobile applications, communications channels, booking and coordination services, payment functionality, and related products and services (collectively, the "Platform").

By clicking to accept, creating an account, requesting or purchasing a service, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, do not use the Platform. The Platform is intended for users located in the United States. Service-specific Provider, facility, laboratory, imaging center, pharmacy, or partner terms may also apply and will control for that service if they conflict with these Terms.

Our Privacy Policy, Consumer Health Data Privacy Policy, and Cancellation and Refund Policy are separately posted and incorporated by reference to the extent permitted by law. Receipt of those notices is not itself consent to optional processing or marketing.

2. Platform Role; No Medical Practice

DoctorsDirect is an administrative, technology, coordination, and payment platform. DoctorsDirect is not a medical group, healthcare provider, pharmacy, laboratory, imaging facility, insurer, health plan, third-party administrator, emergency service, or guarantor of medical care. DoctorsDirect does not practice medicine, diagnose conditions, prescribe medications, establish a clinician-patient relationship, or control independent clinical judgment.

Clinical services are furnished by independent licensed healthcare professionals, medical groups, facilities, laboratories, imaging centers, pharmacies, or other third parties (collectively, "Providers"). Providers are solely responsible for clinical appropriateness, informed consent, medical records, professional standards, diagnosis, treatment, referral, prescribing, and follow-up decisions. A clinician-patient relationship, if any, exists only between you and the applicable Provider. Platform content is not medical advice.

3. Emergencies and Service Limitations

THE PLATFORM IS NOT FOR MEDICAL EMERGENCIES. If you believe you are experiencing an emergency, call 911 or go to the nearest emergency department immediately. Do not rely on the Platform, messaging, artificial intelligence, or a pending booking request for urgent or emergency care.

Services depend on Provider availability, licensure, clinical appropriateness, geography, operating hours, and technology. A request is not accepted until confirmed. We do not guarantee acceptance, timing, treatment, prescription, clinical outcome, or insurance reimbursement.

4. Eligibility, Accounts, and Minors

You must be at least 18 and legally capable of contracting to create an account or purchase services. You must provide accurate, current, and complete information, protect account credentials, and promptly update information. A parent or legal guardian may request services for a minor only where permitted by law and Provider policy and represents authority to consent, provide information, and pay.

5. Booking, Coordination, and Provider Communications

You authorize DoctorsDirect to transmit information you provide to Providers and service partners as reasonably necessary to evaluate, coordinate, schedule, deliver, and support requested services. You must review appointment details, preparation instructions, Provider identity, location, disclosed charges, and cancellation terms; attend on time; provide accurate information; and follow Provider instructions. Delays may occur for reasons outside our control.

6. Artificial Intelligence and Automated Tools

The Platform may use automated systems or artificial intelligence to collect information, summarize user-provided information, support navigation, identify potential service categories, assist scheduling, or facilitate communications. These tools are administrative aids only. They do not provide diagnosis, treatment plans, clinical recommendations, or emergency triage and must not replace a licensed professional. Outputs may be incomplete or inaccurate, and material information should be verified with the Provider.

DoctorsDirect will not use identifiable health information to train general-purpose artificial intelligence models, or permit a third-party artificial intelligence provider to use such information for its own model training, except with separate express consent or as otherwise permitted by applicable law. Vendors that process information solely for DoctorsDirect must be contractually restricted from using it for independent model training where required by law or contract.

7. Pricing, Payment Authorization, and Taxes

Displayed prices are cash-pay estimates or package prices and may include Provider charges and separately identified technology, coordination, concierge, transaction, or administrative fees. Unless expressly included, prices exclude additional testing, pathology, contrast, medications, facility charges, complications, follow-up care, and later-ordered services.

You authorize DoctorsDirect and its payment processors to charge the selected method for disclosed amounts, approved adjustments, and applicable cancellation or no-show charges. Additional services require notice and approval when reasonably practicable. Taxes or governmental assessments may be added when applicable.

8. Cancellation, Rescheduling, and Refunds

The separately posted Cancellation and Refund Policy applies. Unless a different service-specific policy is disclosed before purchase, the default rules are:

  • Virtual appointments: full refund when cancelled at least 3 hours before the scheduled time.
  • In-person appointments: full refund when cancelled at least 24 hours before the scheduled time.
  • Undated laboratory, imaging, or other non-appointment services: cancellation may be requested within 10 calendar days after purchase if unused and no nonrefundable third-party cost has been incurred.

Refunds are generally unavailable for no-shows, late cancellations, completed or partially completed services, consumed orders or authorizations, nonrefundable third-party costs, or dissatisfaction based solely on an independent clinical decision not to prescribe, order, certify, complete paperwork, or provide a requested treatment. Nonwaivable legal rights remain unaffected.

9. Self-Pay Election; Insurance; Good Faith Estimates

The Platform is designed primarily for self-pay transactions. Unless expressly stated otherwise, DoctorsDirect does not submit insurance claims, determine coverage, verify benefits, guarantee reimbursement, or act as an insurer or insurance agent. A Provider may separately participate with a payer outside the Platform, but a Platform purchase remains self-pay unless expressly disclosed otherwise.

By purchasing a self-pay service, you voluntarily elect not to have DoctorsDirect submit that transaction to Medicare, Medicaid, a commercial insurer, or another third-party payer. A self-pay election is effective only to the extent permitted by applicable law and by the participating Provider's Medicare, Medicaid, payer-contracting, enrollment, and opt-out status. DoctorsDirect does not represent that every Provider may lawfully accept a private self-pay arrangement from every patient.

You may request ordinarily available documentation, but no reimbursement or deductible credit is guaranteed. You must not submit false, altered, duplicative, or misleading claims.

Uninsured or self-pay individuals may have rights to a good faith estimate for scheduled services or upon request. The responsible Provider or facility generally issues the clinical good faith estimate. DoctorsDirect will reasonably facilitate requests and provide available pricing information. A price shown by DoctorsDirect is not, by itself, a federally compliant Good Faith Estimate unless expressly identified as one and issued on behalf of the responsible Provider or facility with all legally required information. If a final Provider or facility bill substantially exceeds a qualifying estimate, a federal or state dispute process may be available.

10. Prescriptions, Tests, Referrals, and Medical Records

A Provider alone decides whether a prescription, controlled substance, test, referral, certificate, work note, prior authorization, or other clinical document is medically appropriate and lawful. Payment guarantees none of these.

Providers are responsible for records they create. Requests to access, amend, or restrict those records must be directed to the Provider. DoctorsDirect may maintain administrative, intake, communication, and transaction records.

11. User Responsibilities and Prohibited Conduct

  • Do not provide false, misleading, incomplete, or impersonated information or misuse another person's identity, account, payment method, prescription, or order.
  • Do not seek controlled substances, documents, tests, or services through fraud, coercion, diversion, resale, or unlawful conduct.
  • Do not interfere with security, access controls, networks, software, Providers, or users; scrape, reverse engineer, copy, or exploit the Platform except where law permits.
  • Do not upload malicious code, infringing content, or information you lack authority to disclose.
  • Do not record another person without legally required consent or use the Platform unlawfully.

We may suspend access, cancel requests, preserve evidence, or report conduct when reasonably necessary for safety, security, legal compliance, nonpayment, or material breach.

12. Communications Consent

You consent to service-related communications at the contact information you provide, including appointment, verification, care-coordination, payment, support, and follow-up messages by email, SMS, voice call, WhatsApp, in-app message, or similar channel, including automated technology where lawful.

Marketing consent is not a condition of purchase and is not granted merely by accepting these Terms. Where legally required, marketing calls or texts using automated dialing or artificial or prerecorded voice require a separate, clear, conspicuous, and unbundled prior express written consent. You may revoke marketing consent by any reasonable method, including an unsubscribe link, replying STOP, or contacting us. Transactional communications necessary to administer a transaction may continue. Message and data rates may apply.

12.1 SMS Communications

By providing your mobile phone number and affirmatively opting in, you agree to receive customer care text messages from DoctorsDirect related to healthcare services you request, including appointment confirmations, reminders, scheduling updates, changes, cancellations, and customer support.

Consent to receive SMS messages is not a condition of purchase.

Carriers are not liable for any delayed or undelivered messages.

13. Privacy and Consumer Health Data Notices

Our separately posted Privacy Policy and Consumer Health Data Privacy Policy describe information collection, use, disclosure, retention, security, cookies, state rights, consumer health data, HIPAA role distinctions, and request procedures. They are conspicuously linked on the Platform. Optional processing that legally requires consent, including certain research, AI training, sponsor disclosures, recording, advertising, or data combination, will use a separate consent or authorization rather than bundled acceptance of these Terms.

Nothing in these Terms limits your right to submit a complaint to a governmental agency or regulator. Privacy and consumer-health-data claims are subject to Section 18 only to the extent arbitration of the particular claim is permitted by applicable law.

14. Intellectual Property and Feedback

The Platform and its software, design, text, graphics, workflows, trademarks, and content supplied by DoctorsDirect are owned by or licensed to us and protected by law. We grant a limited, personal, revocable, nonexclusive, nontransferable license for lawful personal use. You retain ownership of submitted content and grant us a limited license to process it only as reasonably necessary to operate, secure, improve, and provide the Platform and requested services, subject to applicable privacy law. Feedback may be used without compensation, without publicly identifying you absent permission.

15. Third-Party Services

The Platform may link to or interoperate with third-party websites, applications, devices, maps, payment services, pharmacies, laboratories, and other services. We do not control third parties and are not responsible for their independent acts, content, availability, privacy practices, or terms.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND NON-CLINICAL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE OPERATION, PROVIDER AVAILABILITY, OR A PARTICULAR CLINICAL OR FINANCIAL RESULT. NONWAIVABLE WARRANTIES REMAIN UNAFFECTED. PROVIDERS REMAIN RESPONSIBLE FOR PROFESSIONAL SERVICES.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCTORSDIRECT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS; OR DAMAGES ARISING FROM A PROVIDER'S INDEPENDENT CLINICAL ACTS OR OMISSIONS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) PLATFORM OR ADMINISTRATIVE FEES PAID TO DOCTORSDIRECT DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) US$500.

THE FOREGOING EXCLUSIONS AND CAP DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING OUR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE WHERE LIMITATION IS PROHIBITED, BREACH OF CONFIDENTIALITY OR DATA-SECURITY OBLIGATIONS CAUSED BY DOCTORSDIRECT, OR NONWAIVABLE STATUTORY DAMAGES.

18. Dispute Resolution, Arbitration, and Class-Action Waiver

18.1 Informal Resolution

Before filing a claim, each party must send written notice describing the dispute and requested relief and attempt good-faith resolution for at least 30 days. Send notices to legal@doctorsdirect.health and Roczar Health of America Inc., Attn: Legal, 801 Brickell Avenue, Miami, Florida 33131. Emergency injunctive relief and eligible individual small-claims matters are not barred.

18.2 Binding Individual Arbitration

Except for eligible individual small-claims matters and emergency injunctive relief, disputes arising from these Terms, the Platform, communications, payments, privacy, or the relationship will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs. The arbitrator may award individual remedies available in court and will issue a reasoned decision upon request.

18.3 No Class or Representative Actions

YOU AND DOCTORSDIRECT MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Claims of different persons may not be combined without all parties' written consent.

18.4 Fees and Location

Arbitration may proceed by video, telephone, written submissions, or in the county where you reside, as permitted by AAA rules. DoctorsDirect will pay fees to the extent required by consumer rules or law. Each party bears its own attorneys' fees unless an award is authorized.

18.5 Coordinated or Mass Filings

If 50 or more substantially similar demands are filed within 180 days by or with the assistance of the same or coordinated counsel, the parties agree, to the fullest extent permitted by AAA rules and applicable law, to an efficient staged process: 10 cases selected by each side proceed first, followed by mediation, and remaining cases then proceed in reasonable batches. This procedure may not prevent a claimant from timely pursuing individualized relief, and limitations periods are tolled from receipt of a compliant demand until the claim may proceed. This provision does not authorize class arbitration.

18.6 Opt-Out

You may opt out by sending a signed notice within 30 days after first accepting these Terms, including your name, account email or telephone, mailing address, and a clear opt-out statement, to legal@doctorsdirect.health or the mailing address above. Opting out does not affect Platform access. Courts in Miami-Dade County, Florida will resolve non-arbitrated disputes, subject to mandatory jurisdiction and venue law.

18.7 Regulatory Complaints and Severability

Nothing limits your ability to complain to a governmental agency or regulator. If a waiver or arbitration provision is unenforceable as to a claim or remedy, that portion proceeds in court after arbitrable claims are completed unless law requires otherwise. The remainder survives termination.

19. Governing Law, Forum, and Venue

Except where preempted by federal law, Florida law governs without regard to conflicts principles. Mandatory protections of your state of residence remain applicable where nonwaivable. Non-arbitrated matters are subject to state and federal courts in Miami-Dade County, Florida, subject to applicable jurisdiction and venue law.

20. Suspension, Termination, and Changes

You may stop using the Platform at any time. We may suspend or terminate access for security, legal compliance, nonpayment, misuse, Provider safety, or material breach. Provisions that should survive will survive. We may update these Terms prospectively with notice where required. Changes do not retroactively alter an accrued claim without consent.

21. General Terms

These Terms and incorporated service-specific disclosures are the entire agreement regarding the Platform and supersede prior agreements on the same subject. Service-specific terms control for that service. Unenforceable provisions will be modified to the minimum extent necessary. Failure to enforce is not a waiver. You may not assign without consent; we may assign in a merger, financing, reorganization, or asset transfer. No third party is a beneficiary except as expressly stated.

23. Electronic Acceptance and Self-Pay Acknowledgment

The Platform should present separate unchecked acknowledgments substantially as follows:

  • I agree to the DoctorsDirect Terms of Use and Self-Pay Agreement, including the arbitration and class-action waiver in Section 18.
  • I acknowledge that I have received the DoctorsDirect Privacy Policy and Consumer Health Data Privacy Policy.

Marketing consent must be presented separately and may not be a condition of purchase. By accepting the first acknowledgment or completing a purchase, you confirm that you reviewed the selected service, disclosed price, and cancellation terms; voluntarily choose self-pay; understand that insurance reimbursement, Provider acceptance, clinical outcomes, and prescriptions are not guaranteed; authorize disclosures reasonably necessary to coordinate the service; and understand that Providers are independent and responsible for clinical care.
